Subscription Agreement

This Subscription Agreement ("Agreement") is a legally binding contract between you ("Subscriber", "Customer", or "you") and UnicPages ("Provider", "Company", "we", or "us") governing your subscription to and use of the UnicPages platform and services. By subscribing to our services, you agree to be bound by this Agreement. Please read it carefully.

1. Parties to This Agreement

1.2 The Subscriber

The individual or legal entity that creates an account and subscribes to UnicPages services, as identified by the registration information provided during account creation.

2. Definitions

• "Services" means the UnicPages web-based platform, browser extension, APIs, and all related features, tools, and functionalities provided by us.
• "Subscription" means the paid plan selected by the Subscriber that grants access to specific features and capabilities of the Services.
• "Subscription Period" means the duration for which the Subscription is valid (monthly or annual).
• "User Content" means all data, text, images, graphics, code, projects, and other materials created, uploaded, or stored by the Subscriber using the Services.
• "Effective Date" means the date on which the Subscriber first subscribes to a paid plan.
• "Renewal Date" means the date on which the Subscription automatically renews.

3. Scope of Services

3.1 Service Description

UnicPages provides a Software-as-a-Service (SaaS) platform that enables Subscribers to:

• Create, design, and publish web pages and landing pages
• Import and convert existing web pages using our browser extension
• Access AI-powered design and content generation tools
• Host and serve published pages
• Access templates, components, and design assets
• Manage multiple projects and pages

3.2 Service Availability

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and shall not be liable for any downtime, whether scheduled for maintenance or due to unforeseen circumstances.

3.3 Service Modifications

We reserve the right to modify, update, or discontinue any feature of the Services at any time. We will provide reasonable notice of material changes that significantly affect the Subscriber's use of the Services.

4. Subscription Plans and Pricing

4.1 Available Plans

We offer various subscription plans with different features, limitations, and pricing. Current plans and their specifications are available at https://unicpages.com/pricing. We reserve the right to modify plans, features, and pricing at any time.

4.2 Pricing

Subscription fees are as specified on our pricing page at the time of subscription. Prices are displayed in the following currencies based on your location:

• Brazil: Brazilian Real (BRL)
• United States: US Dollar (USD)
• European Union: Euro (EUR)
• Other regions: US Dollar (USD)

4.3 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your subscription, including but not limited to VAT, GST, sales tax, and any other applicable taxes based on your jurisdiction.

5. Payment Terms

5.1 Payment Methods

We accept payment via credit card, debit card, and other payment methods as made available through our payment processor (Stripe). By providing payment information, you authorize us to charge the applicable subscription fees.

5.2 Billing Cycle

• Monthly Subscriptions: Billed on the same day each month
• Annual Subscriptions: Billed on the same day each year

5.3 Automatic Renewal

IMPORTANT: Subscriptions automatically renew at the end of each Subscription Period unless cancelled before the Renewal Date. By subscribing, you authorize us to automatically charge your payment method for the renewal fee.

5.4 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, we may suspend or terminate your access to the Services. You remain responsible for any outstanding fees.

5.5 Price Changes

We may change subscription prices at any time. Price changes will take effect at the start of the next Subscription Period following notice of the change. We will provide at least 30 days' notice for price increases. If you do not agree to a price change, you may cancel your subscription before the Renewal Date.

6. Cancellation and Refunds

6.1 Cancellation by Subscriber

You may cancel your subscription at any time through your account settings or by contacting us at support@unicpages.com. Cancellation will take effect at the end of the current Subscription Period. You will retain access to paid features until the end of the billing period.

6.2 Refund Policy

6.2.1 Annual Subscriptions

We offer a 7-day money-back guarantee for annual subscriptions. If you cancel within 7 days of your initial purchase and have not substantially used the Services, you are entitled to a full refund.

6.2.2 Monthly Subscriptions

Monthly subscriptions are non-refundable. You may cancel at any time, but no refund will be provided for the current billing period.

6.2.3 Exceptions

We may provide refunds in the following exceptional circumstances:

• Technical issues that completely prevent you from using the Services, which we are unable to resolve
• Duplicate charges or billing errors caused by us
• As required by applicable consumer protection laws in your jurisdiction

6.2.4 Consumer Rights (EU/UK/Brazil)

If you are a consumer in the European Union, United Kingdom, or Brazil, you may have additional cancellation rights under applicable consumer protection laws. For EU consumers, you have the right to withdraw from this Agreement within 14 days of subscription without giving any reason (cooling-off period), unless you have expressly consented to the immediate provision of services and acknowledged the loss of withdrawal rights upon full performance.

6.3 Termination by Provider

We reserve the right to suspend or terminate your subscription and access to the Services immediately if:

• You breach any term of this Agreement
• You fail to pay subscription fees when due
• You engage in fraudulent, illegal, or abusive conduct
• Required by law or court order

6.4 Effect of Termination

Upon termination of your subscription:

• Your access to paid features will cease immediately (or at the end of the billing period for cancellations)
• You may download your User Content for up to 30 days after termination
• After 30 days, we may delete your User Content
• Any outstanding fees remain due and payable

7. Intellectual Property Rights

7.1 Our Intellectual Property

All intellectual property rights in the Services, including software, designs, trademarks, logos, and documentation, are owned by UnicPages or our licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during your Subscription Period.

7.2 Your Intellectual Property

You retain all intellectual property rights in your User Content. By using the Services, you grant us a limited license to host, store, display, and transmit your User Content solely for the purpose of providing the Services.

7.3 Restrictions

You may not:

• Copy, modify, or distribute the Services or any part thereof
• Reverse engineer, decompile, or disassemble the Services
• Remove or alter any proprietary notices or labels
• Use the Services to create a competing product or service
• Sublicense, resell, or transfer your subscription rights

8. Data Protection and Privacy

8.1 Personal Data

We process personal data in accordance with our Privacy Policy, which is incorporated by reference into this Agreement. By accepting this Agreement, you acknowledge that you have read and understood our Privacy Policy.

8.2 Data Processing Agreement

For Subscribers who process personal data of third parties (e.g., collecting data from website visitors) using our Services, this Agreement includes a Data Processing Agreement (DPA) as required by GDPR and LGPD. Key terms:

• We act as a data processor on your behalf
• We process data only according to your instructions
• We implement appropriate technical and organizational security measures
• We notify you of any data breaches affecting your data
• We assist you in responding to data subject requests

8.3 International Data Transfers

Your data may be transferred to and processed in countries outside your jurisdiction. We implement appropriate safeguards for international data transfers, including Standard Contractual Clauses approved by the European Commission.

9. Service Level and Support

9.1 Support

We provide customer support via email and in-app chat during business hours. Response times vary based on subscription plan and issue priority.

9.2 Maintenance

We may perform scheduled maintenance that temporarily affects Service availability. We will endeavor to provide advance notice of scheduled maintenance and perform maintenance during off-peak hours when possible.

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that:

• We have the right to provide the Services
• The Services will perform substantially as described in our documentation
• We will provide the Services with reasonable skill and care

10.2 Disclaimers

EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• The Services will meet your specific requirements
• Any defects will be corrected
• The results obtained from using the Services will be accurate or reliable

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNICPAGES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES.

11.2 Liability Cap

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100 USD).

11.3 Exceptions

The limitations in this section do not apply to: (a) liability arising from fraud or willful misconduct; (b) death or personal injury caused by negligence; (c) any liability that cannot be excluded or limited by applicable law.

11.4 Consumer Rights

If you are a consumer, you may have statutory rights that cannot be waived or limited by contract. Nothing in this Agreement affects those rights.

12. Indemnification

You agree to indemnify, defend, and hold harmless UnicPages and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your User Content
• Your violation of this Agreement
• Your violation of any third-party rights
• Your violation of any applicable laws

13. Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to conflict of law principles.

For EU Consumers: If you are a consumer residing in the European Union, you will benefit from any mandatory provisions of the law of your country of residence.

For US Consumers: If you are a consumer residing in the United States, you may also have rights under the consumer protection laws of your state of residence.

13.2 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@unicpages.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

13.3 Arbitration

If the dispute cannot be resolved informally, it shall be resolved through binding arbitration, except where prohibited by law. Arbitration shall be conducted under the rules of the Brazil-Canada Chamber of Commerce (CCBC) or equivalent institution.

13.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR CLASS-WIDE ARBITRATION.

This waiver does not apply where prohibited by law, including for consumers in the European Union.

13.5 Small Claims Court

Either party may bring claims in small claims court if the claim qualifies for such court, instead of arbitration.

14. General Provisions

14.1 Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and UnicPages regarding the Services and supersedes all prior agreements and understandings.

14.2 Amendments

We may amend this Agreement at any time by posting the revised version on our website. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the amended Agreement.

14.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

14.4 Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign or transfer this Agreement or your rights under it without our prior written consent. We may assign this Agreement without restriction in connection with a merger, acquisition, or sale of assets.

14.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, or internet disruptions.

14.7 Notices

Notices to you will be sent to the email address associated with your account or posted on the Services. Notices to us should be sent to legal@unicpages.com.

14.8 Language

This Agreement is available in English. In case of any conflict between the English version and any translation, the English version shall prevail.

15. Acknowledgment

By creating an account and subscribing to UnicPages services, you acknowledge that:

• You have read and understood this Agreement in its entirety
• You agree to be bound by all terms and conditions of this Agreement
• You have the legal capacity and authority to enter into this Agreement
• You understand that this is a binding legal contract
• You accept the automatic renewal terms described in this Agreement
